Terms of Service

1. Agreement to Terms

By accessing mlchronix.com or engaging MLChronix for software development services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

MLChronix provides custom software development services including but not limited to: AI/ML development, full-stack web development, React Native mobile apps, blockchain/Web3 development, automation pipelines, MVP development, and digital marketing.

All services are delivered under a separate written agreement (Statement of Work or Service Contract) that takes precedence over these general Terms in the event of conflict.

3. Intellectual Property

• Client IP: Upon receipt of full payment, all custom code, designs, and deliverables created specifically for the client transfer to the client. The client receives full ownership and unlimited commercial rights.
• MLChronix IP: Any pre-existing tools, libraries, frameworks, or boilerplate code used by MLChronix remain our intellectual property, but clients are granted a perpetual, royalty-free licence to use them as part of their deliverables.
• Website content: All text, graphics, logos, and content on mlchronix.com are property of MLChronix and may not be reproduced without written permission.

4. Payment Terms

• Hourly engagements are invoiced bi-weekly or weekly as agreed.
• Monthly retainers are invoiced at the start of each month.
• Fixed-price projects require a 50% deposit before work begins; remaining 50% upon completion.
• Invoices are due within 7 days of issue unless otherwise agreed.
• Late payments incur a 2% monthly penalty after the due date.
• Accepted payment methods: Wire Transfer, Wise, Payoneer, Cryptocurrency (USDC/ETH/BTC).

5. Confidentiality & NDA

MLChronix treats all client information as strictly confidential. We will sign a Non-Disclosure Agreement (NDA) upon request, at no charge, before any project discussion. Both parties agree not to disclose confidential information to third parties without prior written consent.

6. Warranties & Post-Launch Support

• All projects include a 30-day post-launch warranty covering bug fixes and performance issues at no additional cost.
• The warranty does not cover new feature requests, third-party service outages, or client-introduced changes.
• We do not warrant that software will be error-free indefinitely; however, we commit to addressing critical bugs promptly.

7. Limitation of Liability

To the maximum extent permitted by law, MLChronix's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages including lost revenue or business interruption.

8. Termination

• Either party may terminate a project with 14 days written notice.
• Upon termination, the client pays for all work completed up to the termination date.
• All completed deliverables are handed over to the client upon settlement of outstanding invoices.

9. Website Use

When using mlchronix.com, you agree not to:

• Use the site for any unlawful purpose.
• Attempt to gain unauthorised access to any part of the site.
• Scrape, copy, or republish our content without written permission.
• Submit false or misleading information via our contact form.

10. Governing Law

These Terms are governed by the laws of Pakistan. For international clients, disputes may also be resolved via international arbitration under ICC rules. Both parties agree to attempt good-faith resolution before initiating formal proceedings.

11. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of our services constitutes acceptance of revised Terms.
